1. Definitions

"Service" refers to the consulting services and website provided by Pinnacle Row. "User" or "You" refers to any individual or entity accessing our website or engaging our services. "Agreement" refers to these Terms & Conditions along with any applicable engagement contracts.

By accessing our website or engaging our consulting services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. Pinnacle Row provides strategic business consulting services including brand positioning consultation, risk assessment framework development, and innovation pipeline advisory. Our services are available to businesses operating in Taiwan and the broader Asia-Pacific region. Specific service details, deliverables, and timelines are defined in individual engagement agreements.

4. User Responsibilities

When using our website, you agree to provide accurate and complete information in any forms you submit, use our website only for lawful purposes, refrain from attempting to interfere with or disrupt the functioning of our website, and not reproduce, distribute, or use our content without written permission.

When engaging our consulting services, you agree to provide necessary information and access required for us to deliver the agreed-upon scope of work, designate a point of contact for communication, review and provide feedback on deliverables within agreed timeframes, and honor payment obligations as specified in the engagement agreement.

5. Intellectual Property

All content on our website — including text, graphics, logos, and design elements — is the property of Pinnacle Row or its licensors and is protected by applicable intellectual property laws. Consulting deliverables become the property of the client upon full payment, unless otherwise specified in the engagement agreement. Our proprietary frameworks, methodologies, and tools remain the intellectual property of Pinnacle Row. Clients receive a non-transferable license to use deliverables for their internal business purposes.

6. Payment Terms

Consulting fees are specified in individual engagement agreements. All prices are quoted in New Taiwan Dollars (NT$) unless otherwise stated. Payment terms, including deposit requirements and payment schedules, are outlined in the engagement agreement. Late payments may be subject to a reasonable interest charge as specified in the agreement.

7. Refund Policy

If an engagement is cancelled before work begins, any advance payment will be refunded in full. If an engagement is terminated after work has commenced, refunds will be calculated based on the proportion of work completed. Completed deliverables that have been accepted are non-refundable. Specific refund terms may be addressed in individual engagement agreements.

8. Confidentiality

We treat all client information and engagement details as confidential. Mutual non-disclosure agreements are standard for all consulting engagements. Neither party will disclose confidential information without the prior written consent of the other party, except where required by law. Confidentiality obligations survive the termination of an engagement.

9. Disclaimers

Our consulting services are provided based on our professional judgment and the information available to us at the time of the engagement. We do not warrant that our recommendations will produce specific financial results or business outcomes. Our advice is intended to inform your decision-making, not to replace it. The ultimate responsibility for business decisions rests with the client.

Our website and its content are provided "as is" without warranties of any kind, either express or implied.

10. Limitation of Liability

To the maximum extent permitted by law, Pinnacle Row's total liability arising from or related to any engagement shall not exceed the total fees paid by the client for that specific engagement. We are not liable for any indirect, incidental, consequential, or punitive damages, including lost profits or business interruption, arising from the use of our services or website.

11. Indemnification

You agree to indemnify and hold Pinnacle Row harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of our website in violation of these terms, your breach of any engagement agreement, or any misuse of the deliverables or recommendations we provide.

12. Termination

Either party may terminate a consulting engagement with written notice as specified in the engagement agreement. Upon termination, all fees for work completed up to the termination date are due and payable. Provisions relating to confidentiality, intellectual property, limitation of liability, and indemnification survive termination.

13. Governing Law and Dispute Resolution

These Terms & Conditions are governed by and construed in accordance with the laws of the Republic of China (Taiwan). Any disputes arising from these terms or our services shall first be addressed through good-faith negotiation between the parties. If negotiation is unsuccessful, disputes shall be submitted to the jurisdiction of the Taiwan Taichung District Court.

14. General Provisions

These Terms & Conditions, together with any applicable engagement agreement, constitute the entire agreement between you and Pinnacle Row. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision. We may not assign our obligations under these terms without your consent, except in the case of a merger or acquisition.

15. Changes to These Terms

We reserve the right to update these Terms & Conditions at any time. Material changes will be reflected in the "Last Updated" date at the top of this page. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms. We encourage you to review these terms periodically.
